Processing Addendum

1. Scope; Relationship to the Terms
This Tradepost Processing (Fulfillment) Addendum (this "Addendum") supplements and is incorporated into and made part of the Tradepost Terms of Service (the "Terms of Service") and applies when a transaction is fulfilled through Tradepost Processing. Capitalized terms not defined here have the meaning given in the Terms of Service. If this Addendum conflicts with the general provisions of the Terms of Service, this Addendum controls as to Tradepost Processing, and only to the extent of the conflict, as provided in the order of precedence in the Terms of Service. This Addendum may be updated from time to time in accordance with the Terms of Service.
2. Definitions
(a) "Tradepost Processing" means the optional fulfillment service described in Section 3 of this Addendum, under which a Real-World Asset in transit between a Seller and a Buyer is received, verified, repackaged, and re-shipped by a Fulfillment Partner at a Processing Facility.
(b) "Fulfillment Partner" means a Third-Party Service Provider that may receive, verify, repackage, and re-ship Real-World Assets in connection with Tradepost Processing.
(c) "Processing Facility" means a facility operated by a Fulfillment Partner at which Real-World Assets are received, inspected, repackaged, and re-shipped.
(d) "Inbound Shipment" means the shipment of a Real-World Asset from the Seller to the Processing Facility.
(e) "Outbound Shipment" means the shipment of a Real-World Asset from the Processing Facility to the Buyer.
(f) "Documented Value" means, with respect to a Real-World Asset, the total amount paid by the Buyer for the transaction being fulfilled through Tradepost Processing, including the transaction price and any fees paid by the Buyer in connection with that transaction, as evidenced by Tradepost's transaction records.
3. General
(a) Tradepost Processing
Tradepost Processing is an optional fulfillment service that applies to a Marketplace transaction only when the Buyer elects it for that transaction. This Addendum applies to any User whose transaction is fulfilled through Tradepost Processing, including the Buyer who elects it and the Seller who ships the Real-World Asset to the Processing Facility, and each such User must comply with this Addendum, the Terms of Service, and all applicable laws in connection with that transaction.
(b) Transit handling, not custody for trading
Real-World Assets handled through Tradepost Processing are handled in transit only. The Tradepost Processing does not make Tradepost a party to the transaction or transfer title to Tradepost or the Fulfillment Partner.
4. Sending Goods to the Facility (Inbound)
(a) Shipping to the facility
When a transaction is fulfilled through Tradepost Processing, the Seller must ship the Real-World Asset to the designated Processing Facility in accordance with Tradepost's instructions (address, packaging, labeling, documentation, and deadline). Delivery deadlines are measured to receipt by the Processing Facility, not to the Buyer.
(b) Risk of loss (inbound)
The Seller shall bear the risk of loss on the Inbound Shipment until the Real-World Asset has been received and checked in at the Processing Facility. The Seller is responsible for insuring the Inbound Shipment until that time; neither Tradepost nor the Fulfillment Partner insures, or bears any risk of loss for, a Real-World Asset before check-in is complete.
(c) Failure to ship
If the Seller fails to ship the Real-World Asset to the Processing Facility on time or as described in Section 4(a) for a transaction for which the Buyer has elected Tradepost Processing, Tradepost may cancel the transaction, refund the Buyer, recover resulting costs from the Seller, and charge the Seller a cancellation fee, in each case as provided in the Terms of Service.
5. Receiving and Verification
(a) Verification
On receipt, the Fulfillment Partner performs a lightweight verification that the Real-World Asset matches the listing and order, and a condition verification to confirm its represented condition. Tradepost Processing does not include authentication, grading, condition assessment, appraisal, or verification of provenance, and this verification is not a representation, warranty, or guarantee as to the authenticity, genuineness, grade, condition, completeness, or contents of the Real-World Asset, including the contents of any sealed product; Sellers and Buyers remain responsible for authenticity as provided in the Terms of Service.
(b) Acceptance and Seller payout
If the Real-World Asset passes verification, the Fulfillment Partner shall proceed to repackaging and Outbound Shipment. Net proceeds are released to the Seller's Wallet upon acceptance at the Processing Facility, as provided in the Terms of Service.
(c) Rejection
If, on verification, the Real-World Asset is found to be materially not as described, in a condition worse than represented, damaged, evidently counterfeit, or otherwise ineligible, Tradepost will notify the Seller. The Seller shall, at its expense, provide evidence that the Real-World Asset conforms, accept return of the Real-World Asset, or offer a resolution. Tradepost may cancel the transaction and refund the Buyer. Suspected counterfeit, stolen, or illegal items may be withheld, reported to authorities, or disposed of, and will not be returned, as described in Section 11.
6. Repackaging and Handling
(a) Authorization to repackage
You authorize Tradepost and the Fulfillment Partner to open outer packaging, inspect, and repackage the Real-World Asset in protective and shipping materials suitable for safe delivery, and to include Tradepost or transaction materials.
(b) Cosmetic changes
Repackaging may change outer packaging and presentation. Tradepost is not responsible for changes to non-original or outer packaging resulting from necessary repackaging; the Fulfillment Partner remains responsible for damage to the Real-World Asset that it causes.
7. Outbound Shipment; Delivery; Risk of Loss
(a) Shipping to the Buyer
The Fulfillment Partner ships the Real-World Asset to the Buyer using the delivery details provided. The Buyer must provide accurate and complete delivery information; incorrect information may forfeit remedies for non-delivery.
(b) Risk of Loss
As set forth in Section 4, the Seller shall bear the risk of loss and damage for the Inbound Shipment until check-in at the Processing Facility is complete (Section 4(b)). The Fulfillment Partner shall bear the risk of loss and damage while the Real-World Asset is at the Processing Facility, up to the Documented Value of the Real-World Asset. The Buyer shall bear the risk of loss and damage for the Outbound Shipment upon delivery; loss or damage in Outbound transit before delivery is handled under Section 8.
(c) After delivery
Tradepost Processing does not change the Buyer's post-delivery remedies. After the Buyer receives the Real-World Asset, the Buyer may raise an issue within the inspection period and through the dispute process in accordance with the Terms of Service
8. Loss or Damage in Processing
(a) Remedy
If a Real-World Asset is lost or damaged at the Processing Facility or in Outbound transit before delivery, the affected party's remedy is replacement, where feasible, or a payment equal to the Documented Value of the Real-World Asset, and that is the sole and exclusive remedy. Tradepost's liability is limited as provided in Section 12.
(b) Claims and exclusions
You must promptly notify Tradepost of any claim for loss or damage under this Section 8. Neither Tradepost nor the Fulfillment Partner is responsible for loss or damage attributable to: (i) the condition or packaging of the Real-World Asset as received; (ii) inaccurate delivery or identifying information provided by a Seller or Buyer; or (iii) any cause beyond Tradepost's reasonable control as described in the Terms of Service.
9. Fees
Processing and handling fees, and Inbound and Outbound shipping fees, are set out in the applicable fee schedule and may be updated as provided in the Terms of Service. Because Tradepost Processing is Buyer-elected, the Buyer who elects it pays these fees, unless otherwise stated.
10. Undeliverable and Abandoned Goods
If a Real-World Asset is undeliverable, refused, or returned, or if a Seller's rejected item is not reclaimed, Tradepost and the Fulfillment Partner may hold it, subject to storage fees, and, if it remains unclaimed or unpaid may dispose of it, assert a lien, or treat it as abandoned in accordance with applicable unclaimed-property and warehouse-lien law.
11. Prohibited and Illegal Items
If, on inspection, a Real-World Asset is found to be counterfeit, stolen, or otherwise prohibited or illegal, Tradepost and the Fulfillment Partner may withhold it, decline to ship or return it, report it to appropriate authorities, and dispose of it as permitted by law, consistent with the prohibited-item and BOTS provisions of the Terms.
12. Third-Party Fulfillment Partners; Liability
(a) Independent partners
Fulfillment Partners are independent third parties and not Tradepost, and are Third-Party Service Providers. Tradepost provides the technology and facilitation for Tradepost Processing; receiving, handling, and shipping are performed by Fulfillment Partners. Except as expressly provided in this Addendum, Tradepost is not liable for the acts or omissions of Fulfillment Partners.
(b) Claims and cap
Claims for loss of or damage to a Real-World Asset in processing are governed by Sections 7 and 8 and the Fulfillment Partner's insurance, and are subject to the limits stated there rather than the general liability cap in the Terms of Service; the cap for a claim concerning a specific Real-World Asset is its Documented Value.
