Seller Terms

These Seller Terms apply to Sellers on the Tradepost Platform. By listing a Real World Asset for sale on the Tradepost Marketplace, Seller acknowledges that it has read, understands, and agrees to be bound by these Seller Terms. If Seller does not accept the terms and conditions of these Seller Terms, Seller acknowledges and agrees that Seller will not sell, or list for sale, any Real-World Asset on the Tradepost Marketplace. Capitalized terms used in these Sellers Terms that are not defined herein have the meaning given to terms in the Terms of Service. These Seller Terms are incorporated into and made a part of the Terms of Service.

1. SELLING REAL WORLD ASSETS

Sellers are required to comply with all applicable laws, rules, and regulations, along with these Seller Terms, when selling Real World Assets.

2. SELLING VIA INSTANT CASH OFFERS

Tradepost operates an Instant Cash Offer system—not a traditional marketplace. When you submit a Real-World Asset, Tradepost's platform solicits real-time bids from Market Makers (professional buyers). You cannot list items for general sale; the only way to sell is by accepting an Instant Cash Offer from a Market Maker.

3. INSTANT CASH OFFERS

a) Instant Cash Offers

When a Seller lists a Real-World Asset, Tradepost's platform solicits real-time bids from Market Makers. If one or more Market Makers submit executable bids, Tradepost displays the highest available offer as an "Instant Cash Offer" to the Seller.

b) Binding Nature

Instant Cash Offers displayed to Sellers are executable bids from Market Makers, subject to final confirmation. By clicking "Accept Offer," Seller enters into a binding agreement to sell the listed item at the displayed price to the Market Maker, and Market Maker agrees to purchase at that price.

c) Offer Validity

Instant Cash Offers are valid for a certain amount of time configured on an offer-by-offer basis (usually 10 minutes) or until an action such as acceptance or decline occurs or a material change in demand for the underlying Real-World Asset occurs. Tradepost will clearly display the offer expiration countdown. If an offer expires before acceptance, Seller may request a new offer, which may be higher, lower, or unavailable.

d) Execution Process

Upon offer creation by the Seller:

i) Offer Creation & Routing: Tradepost routes the order to the relevant Market Maker and determines if any pre-loaded demand match the Offer Request submitted by the Seller.

ii) Offer Acceptance: Seller takes an action to "Accept Offer & Get Paid" and agrees to transfer the Real-World Asset according to Tradepost's instructions.

iii) Transfer Instructions: Upon Market Maker confirmation, Seller receives detailed transfer instructions including:

(1) Digital assets: Transfer method, recipient information, and required documentation

(2) Physical assets: Shipping address, packaging requirements, and tracking instructions

(3) Transfer deadline is as outlined by Tradepost on the Instant Cash Offer page

iv) Payment Processing & Payout Timing: Upon successful verification: Tradepost charges the Market Maker's payment method, Funds are credited to the Seller's Tradepost Wallet as Withdrawable or Pending Funds depending on the eligibility and Payout Timing of that Real-World Asset.

(1) Standard Items: Funds become Withdrawable immediately after successful transfer verification.

(2) Live Event Linked Assets: Payout is held for a maximum of 7 business days after the event concludes. This hold protects against event cancellation, reschedulement, postponement, or fraudulent/stolen tickets.

(3) High-Value and High-Risk Items: Items above a dollar or risk threshold determined by Tradepost on a case-by-case basis may be held for extended verification periods of up to 14 days.

v) Failed or Rejected Transfers: If Market Maker or Tradepost rejects the Real-World Asset because it:

(1) Does not match the listing description

(2) Is counterfeit, damaged, or materially different from listing

(3) Fails authentication or verification

(4) Is invalid, fraudulent, or non-transferable

Then:

(1) Tradepost will notify Seller of the specific issue

(2) Seller may: (a) provide evidence that item matches listing, (b) accept return of item at Seller's expense, or (c) offer a partial refund/resolution

(3) If no resolution is reached, Tradepost may (in its discretion): reverse the transaction, issue refund to Market Maker, return item to Seller, and charge Seller for any Tradepost or Market Maker costs incurred

(4) Repeated rejected transfers may result in account suspension or termination

vi) No Guarantee of Execution

While Tradepost makes commercially reasonable efforts to ensure accurate pricing and successful execution, Tradepost does not guarantee that any Instant Cash Offer will execute successfully. Factors outside Tradepost's control such as technical failures, inventory changes, Market Maker lack of coverage, or Market Maker system issues may prevent execution.

vii) Price Transparency and Fee Disclosure

The Instant Cash Offer displayed to the Seller represents the net amount the Seller will receive in their Tradepost Wallet upon successful completion of the transaction. The amount is inclusive of all fees and deductions.

viii) Market Maker Identity

Seller will not be informed of which Market Maker (if any) is purchasing the item at the time of offer acceptance. The transaction is with Tradepost as facilitator, and the Market Maker's identity is not disclosed to Seller except as necessary for item transfer.

4. SELLER OBLIGATIONS

a) Accurate Information

Sellers must provide accurate, complete, and current information for each Real-World Asset submitted for Instant Cash Offer. For event tickets: event name, date, venue, section, row, seat numbers. For trading cards: player, year, set, card number, condition, grade (if applicable). For all items: high-quality photos showing actual condition and any flaws. Requirements around accurate information are subject to change at any time.

b) Right to Sell

Seller represents and warrants: (a) Seller has rights to sell the Real-World Assets, (b) all items are valid, in Seller's physical possession, and transferable, (c) all details provided are truthful, complete, accurate, and current, (d) while processing an offer, the item will not be sold elsewhere, and (e) the sale does not violate any venue, promoter terms, or applicable laws.

c) Disclosure of Original Ticket Price

Seller acknowledges that certain laws may require the disclosure of the original ticket price when reselling tickets for specific venues. When such disclosure is required, Tradepost will request the original ticket price of the resale Ticket, and Seller agrees to provide this information accurately and truthfully.

d) Binding Commitment

By accepting an Instant Cash Offer, Seller is legally obligated to deliver the Real-World Asset at the agreed price and within the specified timeframe. Seller cannot cancel after acceptance, alter the price, or refuse delivery. Violations result in account suspension and liability for all damages.

e) Exclusive Transaction

Once an Instant Cash Offer is accepted, the item must not be sold or transferred to any other party. Seller must complete the transaction with the Market Maker who submitted the accepted offer.

5. DELIVERY REQUIREMENTS

Sellers must deliver Real-World Assets according to the "Delivery Schedule" and as described in the accepted Instant Cash Offer. If Tradepost determines that Seller has not fulfilled these obligations, Tradepost reserves the right to cancel the sale, refund Market Maker, and take measures to recover any resulting losses.

a) Delivery Deadlines

Sellers must deliver Real-World Assets according to the "Delivery Schedule" and as described in the accepted Instant Cash Offer. If Tradepost determines that Seller has not fulfilled these obligations, Tradepost reserves the right to cancel the sale, refund Market Maker, and take measures to recover any resulting losses.

b) Delivery Schedule

i) Live Event Linked Real-World Assets (Tickets): Must be delivered according to the deadline stated in the accepted offer (typically 1 hour after accepting the offer).

ii) Trading Cards and Collectibles: Shipped & delivered within 2 business days via tracked carrier (USPS, UPS, FedEx).

c) Delivery Methods

i) Electronic Tickets: Transfer via official ticketing platform (Ticketmaster, AXS, etc.) with all necessary credentials. Ensure tickets are accepted before deadline.

ii) Physical Items: Use tracked shipping with appropriate packaging. For trading cards: use card sleeves, top loaders, and padded mailers. For items over $500: signature confirmation and insurance required.

d) Consequences of Failure

If Market Maker does not receive the Real-World Asset within the agreed timeframe, or the item does not align with the Seller's offer description, Tradepost may cancel the sale and issue a full refund to Market Maker. In the case of Live Event Linked Real-World Assets, if a Market Maker resells the tickets and the End User is unable to access the event due to undelivered or invalid tickets sold by Seller, Tradepost reserves the right to charge Seller for all costs incurred by the Market Maker as a result of the failed transaction related to the End User's attempt to attend the event. Seller agrees to promptly reimburse Tradepost for all such costs as determined solely by Tradepost. Tradepost may require Seller to pay these amounts directly, deduct them from Seller's account, or recover them by other means as necessary.

e) Anticipated Delays

If Seller anticipates a delay in delivering the Real-World Asset or needs to provide replacements, Seller must promptly notify Tradepost at support@tradepost.co to facilitate a resolution. However, Seller acknowledges that reporting an issue does not release them from their obligations to Market Maker.

f) Account Suspension

Tradepost reserves the right to suspend or terminate Seller's account if, at its sole discretion, it determines that Seller has repeatedly failed to deliver Real-World Assets in accordance with these Seller Terms. If requested by Seller, Tradepost may, at its sole and exclusive discretion, grant certain exceptions to the Delivery Schedule on a case-by-case basis.

6. BOTS ACT COMPLIANCE

You may not submit, sell, or otherwise transfer any ticket or Real-World Asset that you knew or should have known was obtained in violation of the BOTS Act or other applicable law.

a) BOTS Act - Legal Background

The Better Online Ticket Sales (BOTS) Act of 2016 (15 U.S.C. § 45c) makes it illegal to: (a) circumvent security measures on ticket sellers' websites, (b) use bots, automated software, or computer programs to purchase tickets, (c) sell or use tickets obtained through such illegal methods. Violations carry civil penalties up to $16,000 per violation and potential criminal prosecution.

b) Seller Certification

By submitting event tickets for Instant Cash Offers, Seller certifies that tickets were NOT obtained through: (a) bots, automated software, scripts, or any automated purchasing tools, (b) circumvention of CAPTCHA, queue systems, waiting rooms, or purchase limits, (c) unauthorized access to ticketing systems or hacked/stolen accounts, (d) credential stuffing, account takeover, or identity theft, (e) any violation of ticketing platform Terms of Service, or (f) any other method that violates the BOTS Act or applicable law.

c) Documentation Requirements

Tradepost may require Sellers to provide documentation proving legal acquisition of tickets, including: original purchase confirmation emails, account statements from ticketing platforms, transfer history, credit card/bank statements, or screenshots from official platforms. Seller must provide documentation within 48 hours of request or face listing removal, account suspension, and funds forfeiture.

d) Consequences of Violations

If Tradepost determines that tickets were obtained in violation of the BOTS Act, Tradepost will: (a) immediately suspend Seller's account, (b) cancel all pending transactions involving suspect tickets, (c) issue full refunds to all Market Makers, (d) forfeit ALL sale proceeds from affected tickets, (e) charge Seller for all downstream damages including end-user refunds (typically 2-4x purchase price), Market Maker losses, venue penalties, and legal fees, (f) permanently terminate Seller's account, (g) report violations to law enforcement, ticketing platforms, venues, and industry partners, and (h) pursue civil legal action to recover all damages.

e) Strict Liability

Regardless of Seller's intent or knowledge, Seller is strictly liable for ALL consequences if tickets turn out to be: invalid, denied entry, canceled/voided, discovered as BOTS Act violations, or subject to legal holds. Seller's liability includes: full refund to Market Maker, full refund to end user (if Market Maker resold the ticket), Market Maker's lost profits, venue penalties, legal fees, travel/lodging expenses, and reputational damages. No liability limitations apply to BOTS Act violations.

7. TRADEPOST WALLET

When Seller onboards, Seller's account includes: (i) a Tradepost Wallet, hosted on Privy, which securely receives and holds Seller's funds, accessible exclusively through the Tradepost Platform, and (ii) a detailed record of Seller's sale activities. Funds in Seller's Tradepost Wallet may be held by Coinflow (our payment processor), Privy, or Tradepost. These funds can be withdrawn for cash. However, please note that these funds are not FDIC insured and are not protected by any other deposit or investment insurance.

a) Tradepost Credits

Tradepost may issue credit to a user as a form of rewards or compensation which has no cash value and is not withdrawable for cash and must be used on the platform ("Tradepost Credits").

b) Wallet Authorization

By using the Tradepost Wallet, Seller authorizes Tradepost and its designated agents to:

i) Access and view Seller's Tradepost Wallet balance and transaction information, including transaction history, for reconciliation and computation of amounts due to or from Seller.

ii) Instruct our payment processor to credit or debit Seller's Tradepost Wallet balance for transactions executed and authorized on the Tradepost Platform, including for fees and charges, or in relation to transactions which have been reversed.

iii) Freeze (or coordinate with our payment processor to freeze) any further credit or debit transactions to or from Seller's Tradepost Wallet if there is a reasonable suspicion of Seller's breach of these Terms or any applicable law.

iv) Utilize or share Seller's data or information obtained through our payment processor for the purpose of processing transactions on the Tradepost Platform.

Seller may withdraw or revoke these authorizations only upon the closure of Seller's Tradepost account in accordance with these Terms. If Seller instructs our payment processor to revoke any of these authorizations before account closure, Seller will no longer be able to use the Tradepost Platform or Tradepost Wallet, and Tradepost may terminate Seller's account immediately.

c) Bank Account Requirements

To receive payouts, Sellers must maintain a valid bank account and provide all required information for payment processing. Sellers must comply fully with all Tradepost terms to qualify for payment. If Seller does not meet eligibility requirements, payments may be delayed or withheld. To the fullest extent permitted by applicable law, Tradepost assumes no responsibility or liability for any such delays or nonpayment.

d) Payment Remittance

Upon receiving payment from Market Maker and contingent on Seller's full compliance with these Seller Terms—including providing all necessary information and documentation—Tradepost will remit the applicable sale proceeds to Seller, after deducting any applicable fees, charges, offsets, or other amounts due to Tradepost as specified in these Terms. If Seller is in breach of obligations or has not maintained a valid bank account or payout method, Tradepost reserves the right to withhold payment.

e) Fees

Payment processing fees are charged by Coinflow, our payment processor, when withdrawing funds to an external bank account.

8. TAX RESPONSIBILITY

Seller is responsible for determining which, if any, taxes apply to transactions conducted via the Tradepost Platform or Tradepost Wallet, and for reporting and remitting those taxes to the appropriate tax authorities. Tradepost is not responsible for any tax filings, obligations, or compliance related to Seller's use of the platform. Sellers are solely responsible for any sales and use tax obligations associated with the sale of their Real-World Assets. Consult a tax professional for guidance.

9. EVENT CANCELLATIONS AND POSTPONEMENTS

Tradepost will inform Seller of any event cancellations. If a Seller requires the return of their Ticket(s) to obtain a refund of the original purchase price, they must contact Tradepost at support@tradepost.co. In cases where Seller has already received payment for the sale, Tradepost may recover the payment by charging Seller's payment method or offsetting the amount against pending payments for other Tickets Seller has sold or will sell. For postponed events, Tradepost will work with Sellers on an individual basis to find a suitable resolution. Sellers are prohibited from reselling, invalidating, or altering Tickets for postponed events. Any decision made by Tradepost regarding refunds or offsets will be considered binding and final, and Seller will fully cooperate and adhere to Tradepost's instructions.

10. BUYER COMMUNICATIONS AND CONFIDENTIALITY

Tradepost may provide Sellers with certain Buyer information, such as contact details, solely to facilitate the delivery of purchased Real World Assets. This information is strictly confidential and must be used only for fulfilling Seller's obligations to the Buyer. Sellers are strictly prohibited from including any additional materials in shipments to Buyers—such as business cards, bookmarks, coupons, flyers, solicitations, contact information, or any other marketing or promotional items. Sellers are strictly prohibited from:

a) Contacting Market Makers for any purpose other than transaction fulfillment

b) Soliciting Market Makers for off-platform transactions

c) Using Market Maker information for marketing, advertising, or commercial purposes

d) Including any additional materials in shipments—such as business cards, bookmarks, coupons, flyers, solicitations, contact information, or any other marketing or promotional items

e) Sharing Market Maker information with third parties except as necessary to complete shipping

11. WARRANTIES; DISCLAIMER

a) Warranties

Seller represents and warrants the following: (a) Seller holds the rights to sell the Real World Assets created on the Tradepost Marketplace; (b) all Real World Assets created on the Tradepost Marketplace are valid, in Seller's physical possession, and transferrable to Buyers; (c) all details provided for each created Real World Asset and offer are truthful, complete, accurate, and current; (d) Seller has provided all required and relevant information for each offer and will update such information as necessary; (e) while listed on the Tradepost Marketplace, the Real World Asset will not be posted on any other website, platform, channel, or medium; and (f) the sale of any Real World Asset via the Tradepost Marketplace does not and will not violate any venue or event promoter's terms, or any applicable laws.

b) Tradepost Disclaimer

Tradepost does not represent, warrant, or guarantee that any Real World Asset listed on the Tradepost Marketplace will sell, that Seller will make any amount of money in marketing and selling Real World Assets on our Tradepost Marketplace, or that any Buyers will complete any transaction with Seller or be able to pay for Real World Assets. Furthermore, Tradepost does not guarantee that any Real World Assets will be listed on our Tradepost Marketplace in any way or with any preference or will appear on the Tradepost Marketplace within any period.
